Terms of Service
Strength Training App
1. Agreement and Scope
These Terms of Service ("Terms") form a binding agreement between you and ZyRep LLC, a Virginia limited liability company, doing business as ZyRep ("ZyRep," "we," "us," or "our"). They govern your access to and use of the ZyRep mobile applications, related websites, AI-generated workout features, subscriptions, credits, community features, and other services that link to these Terms (collectively, the "Service").
Acceptance. You accept these Terms when you affirmatively select the acceptance control presented during account creation, checkout, or another clearly identified consent flow. We may retain the version, date, time, account identifier, and other records of your acceptance. If you do not agree, do not create an account, purchase a product, or use the Service.
Related terms and priority. Our Privacy Policy explains how we handle personal information. Transaction-specific terms shown at checkout ("Offer Terms") form part of your purchase. If these Terms conflict with Offer Terms, the Offer Terms control only for that transaction. The applicable Apple App Store, Google Play, or payment-provider terms control to the extent they govern payment processing, cancellation, or refunds and cannot be varied by these Terms. The Privacy Policy controls with respect to personal-information practices.
Definitions."Account" means your registered ZyRep account. "AI Output" means a workout, plan, recommendation, or other content generated through an automated feature. "Subscription" means recurring paid access to a plan. "Subscription Credits" are credits included with a Subscription and subject to its reset rules. "Purchased Credits" are credits separately purchased in a non-recurring transaction. "User Content" means content you submit or make available through the Service, including profile information, posts, photos, messages, feedback, and other inputs used to assemble AI prompts, but not account credentials or payment-card data.
2. Eligibility and Accounts
Adult U.S. users only. The Service is offered only to individuals located in the United States who are at least 18 years old and can enter into a binding contract. You may not use the Service if applicable law bars you from doing so or if we previously terminated your Account for a material violation and have not authorized your return.
Account information and security. You must provide accurate, current information; keep your credentials confidential; and promptly update your information. Your Account is personal, non-transferable, and may not be shared, sold, or used to impersonate another person. You are responsible for activity conducted through your Account to the extent permitted by law. Notify us promptly at security@zyrep.app if you reasonably believe your Account has been compromised.
3. Limited License and Acceptable Use
License.Subject to these Terms, ZyRep grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the application and access the Service and ZyRep-provided content for your personal, noncommercial fitness use. ZyRep and its licensors retain all rights not expressly granted.
Restrictions. You may not: violate law or another person's rights; use the Service for unauthorized commercial purposes; copy, resell, sublicense, or redistribute the Service; scrape, crawl, harvest, or use bots to access data; introduce malware or interfere with security or operation; probe or gain unauthorized access; manipulate billing, trials, credits, rankings, or usage limits; or reverse engineer, decompile, or circumvent technical protections except to the limited extent applicable law expressly permits despite this restriction.
Community conduct. You may not harass, threaten, exploit, or impersonate others; post unlawful, defamatory, obscene, infringing, dangerous, deceptive, or privacy-invasive material; send spam; collect another user's data without permission; or promote unsafe exercise as appropriate for everyone. You remain responsible for your conduct and User Content.
4. AI-Generated Workouts and Fitness Safety
Automated service.ZyRep uses artificial intelligence to generate workouts and plans through automated trainer personas. The personas are not human coaches, clinicians, or licensed professionals. No human trainer or healthcare professional reviews or approves individual AI Output before it is delivered to you.
Limitations of AI Output.AI Output may be inaccurate, incomplete, repetitive, outdated, or unsuitable for your circumstances. It depends on the information you provide and cannot evaluate your health, movement quality, equipment, environment, fatigue, or physical response. Similar or identical output may be provided to other users. Do not rely on AI Output as the sole basis for a health, medical, or safety decision.
No professional or emergency service.ZyRep does not provide medical care, diagnosis, treatment, physical therapy, nutrition care, emergency monitoring, or professional personal training. Use of the Service does not create a doctor-patient, therapist-patient, trainer-client, fiduciary, or other professional relationship. The Service is not an emergency service. Call 911 or your local emergency number if you believe you may have an emergency.
Your safety responsibilities.Physical exercise involves inherent risks, including serious injury. Before beginning or changing an exercise program, consult an appropriately qualified professional, particularly if you have an injury, medical condition, recent surgery, pregnancy, take medication affecting exercise, or have been advised to limit activity. Use safe, properly maintained equipment; maintain a clear exercise area; choose appropriate resistance and range of motion; and obtain supervision or instruction when needed. Stop immediately and seek appropriate medical assistance if you experience chest pain, dizziness, faintness, unusual shortness of breath, severe pain, loss of coordination, or another concerning symptom.
Your judgment and results. You decide whether to perform, modify, substitute, or skip an exercise and remain responsible for using reasonable judgment. Do not perform an exercise you cannot safely complete. ZyRep does not guarantee that a workout is safe or appropriate for you or that you will achieve any result. Your acknowledgment of inherent exercise risks does not waive rights or remedies that cannot lawfully be waived, and these Terms do not release ZyRep from liability for its own negligence where such a release is prohibited by law.
5. Subscriptions, Trials, Billing, and Cancellation
Offer Terms.Available plans, prices, billing intervals, included features, credit allocations, promotional conditions, and any minimum commitment are displayed before purchase. Prices may exclude applicable taxes unless stated otherwise. You authorize the applicable payment channel to charge the displayed amount, applicable taxes, and recurring charges described in the Offer Terms using your selected payment method.
Recurring Subscriptions.A Subscription continues for the billing interval disclosed at checkout and automatically renews for successive intervals until canceled, unless the Offer Terms say otherwise. Before you become obligated, the checkout flow will display the recurring charge, renewal frequency, cancellation deadline, and method of cancellation. We or the applicable store will provide a retainable purchase acknowledgment and any renewal reminders required by law.
Trials and promotions.A trial exists only when the Offer Terms expressly provide one. The Offer Terms control eligibility, duration, included access, conversion date and time, and any restrictions. Unless you cancel through the purchase channel before the displayed deadline, the payment method will be charged when the trial converts. Promotions may be limited to eligible users and may not be combined, transferred, or repeated except as stated in the Offer Terms.
Apple and Google purchases.Apple App Store and Google Play purchases are billed to your store account and are governed by the store's payment terms. Manage or cancel those Subscriptions through the subscription controls for the same store account. Refund requests for store purchases must be submitted through the store's process when the store controls the transaction.
Web purchases.Web purchases are processed through Stripe or another processor identified at checkout. Manage or cancel a web Subscription using the online account controls provided for that purchase or by contacting hello@zyrep.app if the controls are unavailable. A timely cancellation stops future renewal charges and ordinarily leaves access available through the end of the paid period, unless the Offer Terms or applicable law require different treatment.
Easy cancellation. The cancellation method will be reasonably easy to find and at least as easy to use as the method used to start the Subscription, as required by applicable law. Account deletion is separate from cancellation and may not stop charges. Cancel each Subscription through its purchase channel before deleting your Account.
Changes, upgrades, and downgrades. The purchase channel controls when a plan change takes effect, whether charges are prorated, and how the renewal date changes. Those consequences will be displayed before confirmation. Price increases apply prospectively and only after notice required by law; you may cancel before the new price takes effect.
Payment failures and refunds. We may suspend paid features after a failed, reversed, disputed, or unauthorized payment while the issue is resolved. Except as expressly stated in the Offer Terms or required by applicable law or store rules, charges are nonrefundable and we do not provide credits for a partially used billing period. Nothing in these Terms limits any statutory cancellation or refund right.
6. Workout and Plan Credits
Subscription Credits. The number and cadence of Subscription Credits, and the credit cost of eligible features, are shown in the Offer Terms or in the Service before use. Subscription Credits reset at the disclosed interval and do not roll over unless the Offer Terms expressly say they do.
Purchased Credits.Purchased Credits are a non-recurring digital balance associated with your Account. They are personal, non-transferable, have no cash value except where law requires otherwise, and may not be sold or exchanged. They do not expire while your Account remains open and the credit-supported Service remains available. Purchased Credits remain associated with your Account during a Subscription lapse but may be unusable until an eligible Subscription is active.
Deduction and restoration.Subscription Credits are used before Purchased Credits because Subscription Credits may reset. A credit is consumed when the requested AI Output is successfully delivered to your Account. If a ZyRep technical failure prevents delivery after deduction, we will restore the credit. A credit is not automatically restored merely because you dislike an output or decide not to use it, but you may report a defective generation through Support.
Reversals and corrections. If a payment is refunded, reversed, charged back, or determined to be unauthorized, we may remove the associated credits and benefits. If they have already been used, we may restrict further paid use until the account balance or payment issue is resolved. We may correct duplicate or erroneous grants but will keep a record of material adjustments and provide an explanation on request.
End of service or Account.Unused Subscription Credits expire when the applicable Subscription access ends. Purchased Credits do not expire solely because a Subscription lapses or the Account is temporarily suspended. Before completing voluntary Account deletion, we will disclose the effect on remaining Purchased Credits and provide a reasonable opportunity to use them or seek any remedy available under applicable law or store rules. If ZyRep permanently terminates your Account for a material violation, we may block further use but will refund unused value that ZyRep actually retained, except for credits tied to fraudulent, reversed, disputed, or unauthorized payments and except where the applicable store administers the remedy. If ZyRep permanently discontinues the credit-supported Service for reasons unrelated to your breach, we will provide a reasonable opportunity to use Purchased Credits or refund the unused value that ZyRep received, with store-based remedies administered through the applicable store where required.
7. User Content and Community
Your ownership. As between you and ZyRep, you retain ownership of User Content you create, subject to any rights held by others. You represent that you have the rights and permissions needed to submit it and that doing so does not violate law, these Terms, or another person's rights.
Operational license. You grant ZyRep a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and moderate User Content solely as reasonably necessary to operate, secure, improve, and provide the Service. This license includes the right to allow service providers acting for ZyRep to perform those functions. These Terms do not grant ZyRep the right to use your name, likeness, photos, or posts in external advertising or to train a general-purpose AI model on identifiable User Content; either use requires separate disclosure and permission where applicable.
Visibility and deletion.Visibility of profile information, posts, workouts, records, and badges follows the settings described in the Privacy Policy. Avatar images and post image files are stored at web addresses that anyone with the exact link can open. Other profile and community content is visible only to signed-in users as described in the Privacy Policy and may be copied, screenshot, or reshared by those users. Deletion removes content from active display within a reasonable period, but copies may remain in backups, legal records, moderated evidence, another user's reshare, or an external service beyond ZyRep's control, as further explained in the Privacy Policy.
Moderation and user interactions.ZyRep may, but is not required to, review, investigate, restrict, remove, or preserve User Content and may limit accounts to enforce these Terms, protect users, respond to reports, or comply with law. We do not continuously monitor all content, verify users, or endorse user statements or workout advice. Use reasonable caution when interacting with others. Report content using any reporting method made available in the Service or by emailing hello@zyrep.app.
8. Copyright and Trademark Infringement Claims (DMCA)
(a) Respect for Intellectual Property.ZyRep respects the intellectual property rights of others and expects users to do the same. You may not post, share, or upload through the Service any User Content, including workout programs, training plans, images, video, music, or text, that infringes the copyright, trademark, or other intellectual property rights of any third party. ZyRep will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act, 17 U.S.C. Sec. 512 (the "DMCA"), as described in this Section 8. ZyRep may also consider claims of trademark infringement submitted through the same channels.
(b) Notice of Claimed Infringement. If you believe that content available through the Service infringes a copyright you own or control, send a written notice to ZyRep's Designated Agent identified in Section 8(c). To be effective under the DMCA, your notice must include: (1) a physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf; (2) identification of the copyrighted work claimed to have been infringed or, if multiple works are covered by a single notice, a representative list of those works; (3) identification of the material claimed to be infringing and information reasonably sufficient to permit ZyRep to locate it, such as a link or in-app location; (4) your name, mailing address, telephone number, and email address; (5) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the owner's behalf.
(c) Designated Agent.Notices and counter-notices under this Section 8 must be sent to:
ZyRep LLC, Attn: DMCA Designated Agent
Mailing address: 8401 Mayland Dr, Ste A, Richmond, VA 23294
Email: dmca@zyrep.app
(d) ZyRep's Response.Upon receipt of a compliant notice, ZyRep will act expeditiously to remove or disable access to the identified material and will take reasonable steps to notify the user who posted it. ZyRep may forward a copy of your notice, including your name and contact information, to that user. ZyRep may decline to act on notices that do not substantially comply with Section 8(b).
(e) Counter-Notice.If you believe that material you posted was removed or disabled as a result of mistake or misidentification, you may send a written counter-notice to the Designated Agent containing the information required by 17 U.S.C. Sec. 512(g)(3), including: (1) your physical or electronic signature; (2) identification of the material that was removed and its location before removal; (3) a statement, under penalty of perjury, that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification; and (4) your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the United States District Court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which ZyRep may be found) and that you will accept service of process from the person who submitted the original notice or that person's agent. Upon receipt of a compliant counter-notice, ZyRep will forward it to the original complaining party and, unless that party notifies ZyRep within ten (10) business days that it has filed an action seeking a court order to restrain the allegedly infringing activity, ZyRep may restore the removed material within ten (10) to fourteen (14) business days after receiving the counter-notice.
(f) Misrepresentation.Under 17 U.S.C. Sec. 512(f), any person who knowingly and materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys' fees.
(g) Repeat Infringer Policy.Consistent with the DMCA, ZyRep maintains and enforces a policy of terminating, in appropriate circumstances, the Accounts of users who are determined to be repeat infringers. ZyRep may also, in its discretion, remove content, limit access to the Service, or terminate the Account of any user who infringes the intellectual property rights of others, whether or not there is repeat infringement. Termination under this Section 8 is a termination for a material violation of these Terms, and the treatment of Subscriptions and credits on termination is governed by Sections 5 and 6.
(h) Additional Information.General information about the DMCA is available from the U.S. Copyright Office at www.copyright.gov.
9. Intellectual Property, AI Output, and Feedback
ZyRep materials. The Service, software, interface, exercise library, graphics, branding, trainer-persona names and designs, and other materials provided by ZyRep are owned by or licensed to ZyRep and are protected by applicable intellectual-property laws. No trademark or brand license is granted by these Terms.
AI Output license.Subject to these Terms and third-party rights, ZyRep grants you a non-exclusive license to use AI Output delivered to your Account for personal, noncommercial purposes. AI Output may not be unique, and these Terms do not give you ownership of underlying software, models, templates, exercise assets, trainer personas, or ZyRep materials. Do not sell, sublicense, or present AI Output as professional medical or training advice.
Inputs and feedback. You authorize ZyRep and its service providers to process your information and assemble AI prompts as needed to generate AI Output and operate the Service, subject to the Privacy Policy, the Consumer Health Data Privacy Policy where applicable, and your applicable consent choices. This authorization does not replace any separate consent required for collecting or disclosing consumer health data or other personal information. References to prompts describe processing and do not mean that ZyRep stores a separate copy of each assembled prompt; retention is governed by the Privacy Policy. If you voluntarily provide product suggestions or feedback, you grant ZyRep a non-exclusive, perpetual, worldwide, royalty-free right to use it without identifying you or publicly attributing it to you.
10. App Stores and Third-Party Services
Apple App Store. If you downloaded the application from Apple, these Terms are between you and ZyRep, not Apple. ZyRep, not Apple, is responsible for the application and its maintenance and support, subject to these Terms. To the extent required by Apple's applicable terms, Apple has no warranty obligation other than any refund it may provide under its rules; ZyRep is responsible for addressing legally cognizable claims concerning the application. Apple and its subsidiaries are third-party beneficiaries of this paragraph and may enforce it. You must comply with applicable third-party terms and represent that you are not located in an embargoed country or listed on a U.S. prohibited-party list.
Google Play.If you obtained the application through Google Play, these Terms are between you and ZyRep, not Google. Google is not responsible for the application, its content, maintenance, support, or claims concerning it, except for duties Google expressly accepts under its own terms. Your use and purchases remain subject to applicable Google Play terms.
Other providers. The Service relies on payment processors, hosting, communications, analytics, artificial-intelligence, and other providers. A linked or integrated third-party service is governed by its own terms and privacy practices. ZyRep does not control third-party services and is not responsible for their independent acts, content, or availability, but this sentence does not limit responsibility that applicable law places on ZyRep.
11. Service Availability and Changes
Availability. We may maintain, update, repair, or modify the Service and do not promise uninterrupted availability. Features may change as technology, safety needs, law, and user demand evolve. We will not materially reduce an already purchased fixed-term benefit without providing the notice and remedy required by the applicable Offer Terms and law.
Discontinuation. If we permanently discontinue all or a material paid part of the Service, we will give reasonable advance notice when practicable, stop future ZyRep-controlled renewal charges, and address unused prepaid web value and Purchased Credits as described in these Terms, the Offer Terms, and applicable law. Store purchases remain subject to the store's available remedy process.
12. Suspension, Termination, and Account Deletion
Suspension or termination by ZyRep.We may restrict or suspend access when reasonably necessary to address a security risk, protect users, investigate suspected fraud or unlawful conduct, respond to a payment reversal, or enforce these Terms. We may terminate an Account for a material or repeated violation. When circumstances permit, we will provide notice and a reasonable opportunity to correct a curable violation; immediate action may be taken for serious safety, security, fraud, abuse, or legal risks.
Your choices. You may stop using the Service or request Account deletion through the available account or privacy controls. Account deletion is not a substitute for canceling a Subscription. Cancel through each purchase channel first and retain the confirmation.
Effects. When access ends, the Service license ends and you must stop using restricted ZyRep materials. The credit rules in Section 6 apply. User Content is handled as described in the Privacy Policy and Section 7. We may preserve records required for legal, safety, fraud-prevention, accounting, or dispute purposes. You may contact hello@zyrep.app to request review of a suspension or termination you believe was made in error.
Survival.Provisions that by their nature should continue after termination survive, including ownership, licenses needed to retain lawful records, payment obligations, warranty disclaimers, liability limits, indemnity, dispute terms, and general provisions.
13. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." ZYREP DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ZYREP DOES NOT WARRANT THAT THE SERVICE OR AI OUTPUT WILL BE ACCURATE, COMPLETE, SAFE OR SUITABLE FOR YOU, SECURE, UNINTERRUPTED, ERROR-FREE, COMPATIBLE WITH EVERY DEVICE, OR EFFECTIVE IN PRODUCING A PARTICULAR FITNESS RESULT. THIS DISCLAIMER DOES NOT LIMIT A WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYREP AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZYREP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO ZYREP FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100.
The exclusions and cap do not apply to liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, gross negligence, or death or personal injury caused by negligence to the extent applicable law prohibits that limitation. Some jurisdictions provide rights that cannot be limited; in those jurisdictions, these provisions apply only to the fullest lawful extent.
15. Indemnification
To the extent permitted by law, you will indemnify and hold harmless ZyRep and its officers, employees, and agents from third-party claims, damages, and reasonable costs arising directly from your unlawful User Content, your intentional misuse of the Service, or your material violation of another person's rights. This obligation does not require you to indemnify any person for that person's own negligence or misconduct. We will provide reasonable notice of a covered claim and allow you to participate in the defense; you may not settle a claim in a manner that admits fault by or imposes a nonmonetary obligation on ZyRep without our written consent.
16. Governing Law and Disputes
Informal resolution. Before filing a claim, send a written description of the dispute, the relief requested, and information reasonably sufficient to identify your Account to legal@zyrep.app. The parties will attempt in good faith to resolve the matter for 30 days. This requirement does not prevent either party from seeking urgent injunctive relief or filing in small claims court, and it is excused when a filing deadline would otherwise expire.
Law and forum.Virginia law governs these Terms, without regard to conflict-of-laws rules. Subject to any non-waivable right to bring a claim elsewhere, the state courts located in Arlington County, Virginia, and the United States District Court for the Eastern District of Virginia have exclusive jurisdiction over disputes. Nothing in these Terms deprives you of mandatory protections provided by the law of your residence.
17. Changes to These Terms
We may update these Terms prospectively. We will post the updated Terms and revise the effective date. For a material change, we will provide clear notice through email, the Service, or another retainable method at least 30 days before the change takes effect unless law or an urgent security or safety issue requires faster action. We will describe how to cancel affected recurring services. We will obtain fresh affirmative consent when required by law or when a change materially alters an already accepted dispute process or prepaid commitment. Changes do not retroactively reduce accrued rights or alter a completed purchase except as expressly agreed or required by law.
18. Electronic Communications and Notices
Electronic communications. You consent to receive transactional communications, purchase acknowledgments, legal notices, and records electronically at the email address associated with your Account or through the Service. You may retain these communications electronically or by printing them. Keep your contact information current. Marketing choices are handled separately and do not affect required transactional messages.
Notices to ZyRep.Formal legal notices must be sent both by email and by a nationally recognized delivery service to the contacts in Section 20. A notice is effective on confirmed receipt. Copyright notices must follow Section 8.
19. General Provisions
Assignment. You may not assign these Terms or transfer your Account without our written consent. ZyRep may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or change of control, provided the assignee assumes ZyRep's remaining obligations for paid services and prepaid value.
Force majeure.Neither party is liable for delay caused by events beyond reasonable control, except for payment obligations already due and obligations concerning refunds or unused prepaid value after a permanent discontinuation. The affected party will use reasonable efforts to reduce the effect of the event.
Entire agreement and severability. These Terms, the Privacy Policy, and applicable Offer Terms are the entire agreement about the Service and replace prior statements on the same subject. If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue in effect.
No waiver; relationship; third parties.A failure to enforce a provision is not a waiver. These Terms do not create an employment, partnership, agency, or joint-venture relationship. Except for Apple's beneficiary rights expressly stated in Section 10, no third party may enforce these Terms.
Interpretation.Section headings are for convenience only. The words "including" and "such as" are not limiting. Any ambiguity will not be resolved against a party solely because that party drafted the language.
